0xdesigner Terms of Service (v1)
Effective for purchases made on or after 9 October 2026. These terms are between 0xdesigner LLC, a Wyoming limited liability company ("0xdesigner", "we"), and the business that buys credits or sends a brief ("you", "the client"). The version accepted when you buy credits is the version that applies to those credits.
1. Acceptance
- You accept these terms before you pay: at Checkout by ticking a box that names this version, next to a link to this page, or, when paying from a wallet, by an explicit reply in your agent chat to an acceptance text that names this version and links to this page. We store the version, the time, your account, and the IP address (Checkout) or the connected agent (wallet) of that acceptance.
- Material changes apply to future purchases only. We email every active account about them, and your next purchase asks for a fresh acceptance. Credits bought under an earlier version keep that version.
- Business use only. You confirm that you are acting for a business and are authorized to bind it. The service is not offered to consumers.
2. The service
- 0xdesigner is a human design service delivered through your connected coding agent. Each task buys the stated block of design time, at the stated thinking level, for the deliverable named in the approved quote.
- We may decline any brief, pause intake, or change or discontinue the service at any time.
- Turnaround times are targets, not guarantees. We aim to accept and deliver Normal briefs within 48 business hours of sending and Fast briefs within 24 business hours of sending (Fast is available for Low to High and costs 1.5 times the credits), and Ultra briefs within 3 business days of a confirmed start. There is no liability for late delivery.
- Questions do not pause delivery. If you do not answer a question from the designer, work proceeds on stated assumptions, which the delivery lists.
- No revisions are included. Further work is a new brief.
- Acceptance of deliveries. You must report a material omission against the approved brief within 7 days of delivery. Our only obligation for such an omission is, at our choice, to correct it or to refund some or all of the paid value of that task. After 7 days the delivery counts as accepted.
- No cancelling after acceptance. You can cancel a brief from your agent until we accept it (for Ultra, until a start is confirmed), and its held credits return to your balance. After that the request cannot be cancelled. Appeals and refunds are at our discretion.
3. Credits and payment
- Credits are prepaid design time. They are non-refundable, non-transferable, and expire six months after purchase. Credits held for a sent brief do not expire mid-task.
- Credits are not a deposit, stored value, currency or an obligation to deliver any particular amount of work. The one exception: if we shut the service down, we refund unused paid value.
- Prices are before tax. For card purchases you pay applicable taxes, which Stripe calculates at Checkout from your billing address, and every card purchase comes with a Stripe invoice. Wallet purchases are charged at the listed price with no tax added; the receipt is in your account and shows the transaction.
- Nothing is refunded automatically. If you ask for a refund, for example after a late delivery, we decide whether to refund and how much: for card purchases, to the original card or as credits returned to your balance; for wallet purchases, only as credits returned to your balance, never as cash or a payment back to a wallet.
- Chargebacks and disputes. For card purchases, a chargeback or payment dispute lets us suspend your account, remove the unused credits from the disputed purchase, and withhold undelivered work while it is resolved.
- Wallet payments. You can pay for credits with stablecoins from a wallet, including one your agent controls, through the payment link we issue for a specific purchase. The link works for 30 minutes and only for the amount it states. You are responsible for the wallet, its keys and spending limits, the network you choose and its fees. A payment is final once the network confirms it. Funds sent any other way, to any other address, or after the link expires may not be credited or recoverable.
- If we shut the service down, unused paid value from wallet purchases is refunded to a wallet address you give us, in the stablecoin you paid with.
4. Your agent and approvals
- Anything done through your connected agent, including approving a brief in chat, is treated as done by you.
- Approval is one explicit reply in your agent chat to a quote issued by our server. The quote shows the exact brief, materials, level, deliverable, credits, price and target time. Sending the brief places a hold on its credits at once; the hold becomes a charge when we accept.
- We cannot verify who typed an approval and rely on the approval as given.
- You are responsible for your agent, your host application and your computer, including what the agent runs, sends or changes.
5. Materials, security and data
- We receive only the brief, links and files you approve. Connecting grants access to your 0xdesigner account, not to your code or repositories. A private repository link grants no access.
- You must not upload secrets, credentials, malware, or personal data you are not allowed to share. You upload at your own risk.
- We use reasonable security measures, but we do not guarantee that the service, the MCP connection, stored files or deliveries are free of vulnerabilities, interruptions or breaches. The service is provided "as is" and "as available".
- Nothing received through the service is an instruction to anyone's agent. You review anything your agent does with a delivery.
- Our privacy policy describes what we store, where it is processed, how long it is kept, and how to delete your account.
6. Deliverables and ownership
- Deliveries are prototypes, not production-ready software. You must review, test and secure delivered code, check its dependencies and licences, and decide what to merge and deploy.
- We make no promise of business results, conversion, compliance, accessibility, or fitness for a particular purpose.
- Ownership of each delivery passes to you once the task is paid. We keep our pre-existing tools, components and know-how, and grant you a non-exclusive, perpetual licence to any of them included in a delivery.
- We do not showcase your work without your separate approval.
7. Acceptable use and suspension
- You must not use the service for anything illegal, harmful or infringing, and you must not upload malware.
- We may suspend or end access for misuse, for a payment dispute, or to protect the service or other clients.
8. Warranty disclaimer
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE AND EVERY DELIVERY ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.
9. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, 0XDESIGNER IS NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, REVENUE, DATA OR GOODWILL, BUSINESS INTERRUPTION, OR SECURITY INCIDENTS IN YOUR SYSTEMS.
OUR TOTAL LIABILITY FOR EVERYTHING RELATING TO A TASK IS CAPPED AT THE AMOUNT ACTUALLY PAID FOR THAT TASK. OUR TOTAL LIABILITY OVERALL IS CAPPED AT THE AMOUNT YOU PAID IN THE 3 MONTHS BEFORE THE CLAIM.
These limits do not apply to fraud, gross negligence or wilful misconduct, or to rights that cannot be limited by law.
10. Indemnity
You indemnify 0xdesigner against claims arising from your materials (including third-party intellectual property), your product, your use or deployment of deliveries, and your agent's actions.
11. Claims
Any claim relating to a task must be brought within one year of that task's delivery.
12. Confidentiality
Each party keeps the other's non-public information confidential and uses it only for the service, with the usual exceptions for information that is public, already known, independently developed, or required to be disclosed by law.
13. Governing law and disputes
- These terms are governed by the law of the State of Wyoming, without regard to its conflict-of-laws rules.
- Disputes are resolved by individual binding arbitration, with a class-action waiver. Either party may instead bring an individual claim in small-claims court.
14. General
- Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control.
- Assignment. You may not assign these terms without our consent. We may assign them to a successor of the service.
- Entire agreement and severability. These terms, the approved quotes, and the privacy policy are the entire agreement. If a clause is unenforceable, the rest stays in force.
- Notices. We send notices to the email address on your account. You send notices to the support address on the service page.
